RepeatAce Terms of Service
Last updated: 5 November 2026
1. The agreement#
1.1 Who we are. These Terms of Service (the "Terms") are made by Tackr Flow Inc., a Wyoming corporation doing business as RepeatAce ("RepeatAce," "we," "us," or "our"). RepeatAce is a trade name of Tackr Flow Inc., not a separate company. Our mailing address is 1985 Riviera Dr, Suite 103 PMB 153, Mt Pleasant, SC 29464.
1.2 Who these Terms cover. These Terms are a contract between RepeatAce and the business that opens a RepeatAce account (the "Customer," "you," or "your"). The individual who accepts these Terms confirms that they are authorized to bind that business. Accepting does not make that individual personally liable under these Terms. RepeatAce is sold only to businesses, not to consumers for personal, family or household use.
1.3 How these Terms are accepted. You accept these Terms by checking the unticked acceptance box at signup, next to links to these Terms and the documents in section 1.4, and then completing signup. We keep a record of the acceptance, including the date and time, the business, the user who accepted, and the versions of the documents accepted. How updates to these Terms take effect is covered by section 9.4.
1.4 Documents that form part of these Terms, and which one controls. The following documents are part of these Terms:
| Document | Address | Controls on |
|---|---|---|
| Data Processing Addendum ("DPA") | repeatace.com/dpa | How RepeatAce processes personal information on your behalf |
| SMS Terms & Messaging Policy, Part B | repeatace.com/sms-terms | The operating rules for text messages sent through the Service |
| Acceptable Use Policy | repeatace.com/acceptable-use | What the Service may not be used for |
| Network Ace Terms | repeatace.com/network-terms | The mechanics of sending and receiving jobs through Network Ace |
| Your Order | Shown at checkout and in your account | The commercial details it states: plan, price, billing period, free period and included items |
If documents conflict on a topic, the document listed for that topic in the table controls on that topic; these Terms control on everything else. Two rules apply regardless: (a) section 8.5 (limitation of liability) and section 8.6 (indemnity) of these Terms apply to all claims between you and RepeatAce under any of these documents, as one aggregate limit; and (b) no Order, program document or referral offer reduces the consent rules in section 5. A referral offer you configure sets the reward amount and qualification rules for your program but does not change RepeatAce's rights under these Terms or the law. The Referral & Reward Terms at go.repeatace.com/referral-terms are an agreement with your End Customers about your program, not part of this contract; you must not offer rewards on terms that conflict with them. The Privacy Policy at repeatace.com/privacy is a notice, not part of this contract.
1.5 Definitions.
- "Service" means the RepeatAce software and related services made available to your account, including the web app at app.repeatace.com, pages for End Customers at go.repeatace.com and repeatace.com/s, the Ace assistant, and the programs and features shown in your account.
- "Order" means the checkout summary you accept at signup, or any later upgrade, add-on or written order you accept, stating your plan and its commercial details.
- "Authorized User" means an individual you allow to use the Service under your account, such as an owner, manager, office staff member or technician.
- "End Customer" means one of your own customers or prospective customers, including a homeowner who receives a message, opens a page or taps a magnet through the Service, and a person referred to you.
- "Customer Data" means data that you, your Authorized Users or software you connect submit to the Service, including End Customer names, phone numbers, email addresses, service addresses and job records.
- "Message" has the meaning in section 3.2.
- "Third-Party Services" means software and services not provided by RepeatAce, such as Jobber, Google Business Profile, payment processors and reward providers.
2. The Service, accounts and users#
2.1 What the Service does. RepeatAce works alongside the software you already use. It sends review requests, referral invitations and related messages to End Customers in your business name, provides pages where End Customers can leave a review, refer a friend or request service, and tracks the results. RepeatAce does not replace your scheduling, invoicing or customer records.
2.2 Features available to you. The features available to your account are those shown in your account and Order. A feature described on our website as planned or coming soon is not part of the Service until it is released to your account. Some features may be switched off for your account until conditions are met, for example text messaging until your carrier registration is approved.
2.3 Beta and changes. Parts of the Service may be labeled beta or early access. We may change, limit or withdraw beta features, and we may make changes at any time where needed for security, legal compliance or carrier requirements. If a change materially reduces a feature you pay for, we will give you reasonable notice where practicable, and you may cancel; if you prepaid an annual plan, we will refund the prepaid fees for the unused part of the year. A beta label does not reduce our security obligations under these Terms or the DPA. Whether you pay during a beta or free period is stated in your Order.
2.4 Eligibility. You must be a business located in the United States, and each Authorized User must be at least 18. The Service is intended for use with End Customers in the United States.
2.5 Your account. You must give accurate and complete information at signup and keep it current, including your legal business name, address, website and Employer Identification Number (EIN), which we use to register your business with carriers for text messaging.
2.6 Authorized Users. You decide who may use your account and which role each person has. You are responsible for activity under your account and for removing access when someone leaves your business. Each Authorized User must keep their sign-in details private and tell us promptly at hello@repeatace.com if they suspect unauthorized access.
2.7 Support. Support is available by email at hello@repeatace.com and through Ace in the app. Our target is to reply within one business day. Your setup includes one onboarding call.
3. Fees, billing, cancellation and refunds#
3.1 Plans and prices. Your plan, price, billing period and any free period are stated in your Order. At the time of writing, the standard plan is $199 per month or $1,990 per year, plus a one-time setup fee of $150. The prices in your accepted Order apply to you until changed under section 3.8.
3.2 Messages and overages. Your plan includes 2,000 Messages each calendar month, on both monthly and annual plans. The allowance resets on the first day of each month and unused Messages do not carry over. A "Message" is one outbound text segment delivered to an End Customer through the Service, as counted by our messaging provider. How many segments a text uses depends on its length and characters: a short text in standard characters is one segment, while longer texts, or texts with emoji or special characters, use more. The message editor shows an estimate before you save a template, and the provider's count is used for billing. The following do not count toward your allowance: texts that fail or are not delivered, replies you receive, opt-out and help confirmations, verification codes, texts to your own team, and emails. Picture messages are not available at launch. We will alert the account owner when 80 percent and 100 percent of the allowance is used. When the allowance is used up, automated texts pause until the next month unless the account owner has switched on overages in your settings, in which case additional Messages are charged at $0.03 per segment, or the rate stated in your Order if different, and billed with your next subscription charge.
3.3 Setup fee. The $150 setup fee covers: filing your carrier text messaging registration; connecting your software or importing past customers; setting up your logo and message templates; one onboarding call; and 50 magnets shipped to a U.S. address at no shipping cost. Carriers decide whether to approve a registration, and we cannot guarantee approval or a launch date. Emails can be sent while a registration is pending. We will replace magnets that arrive defective or are lost in shipping if you tell us within 30 days of the shipping date. The setup fee is not refundable once setup work has begun, except where the law requires a refund, or where we end these Terms or reject your account before providing setup services, in which case we refund it.
3.4 Free periods. Your Order states the length of any free period and the date of your first subscription charge. The setup fee is charged at signup even when a free period applies. Unless you cancel before the free period ends, your plan continues at the price in your Order, and we will remind the account owner by email at least 7 days before the first charge.
3.5 Payment authorization. You must keep a valid payment card on file. You authorize us, through our payment processor, to charge that card for: (a) subscription fees for each billing period, which renew automatically until cancelled; (b) the setup fee; (c) Message overages, if switched on; (d) magnet packs you order; (e) rewards approved under section 6.1, including any fulfillment fee shown in the app before you approve the reward settings; and (f) applicable taxes. We do not charge other fees unless they are stated in your Order or you approve them in the app.
3.6 Taxes. Prices do not include taxes. You are responsible for sales, use and similar taxes on your purchases, other than taxes on our income.
3.7 Failed payments. If a charge fails, we will notify the account owner and may retry the charge during the following 14 days. If the amount remains unpaid after 14 days, we may suspend the Service until it is paid. Rewards are not issued while the charge for them is unpaid. You remain responsible for amounts you owe.
3.8 Price changes. We may change prices by emailing the account owner at least 30 days before the change. A new price applies from your next renewal after the notice period. If you do not agree, you may cancel before it applies.
3.9 Cancelling. You may cancel renewal at any time in your account settings or by emailing hello@repeatace.com. There is no cancellation fee and no notice period. Access and refunds depend on your billing period:
- Monthly plans. Your access continues to the end of the monthly billing period you have paid for, then ends. We do not give partial refunds.
- Annual plans. If you cancel on or before the 30th day after the date of the annual charge, we refund that charge in full. After that, there is no refund, and your access continues to the end of the paid year without renewing.
- Setup fee. Refunds of the setup fee are governed by section 3.3 only.
- Rewards. Charges for rewards already issued are not refundable. Section 8.3 covers rewards pending when an account ends.
4. Guarantees#
4.1 The four guarantees. RepeatAce makes four guarantees. Each one applies once your account reaches its minimum, shown in the table.
| Guarantee | Applies once | The promise | If we miss it |
|---|---|---|---|
| Setup | You add your card | Your account is Live within 30 days of signup | Your first month's subscription is refunded |
| Review | 30 review requests are delivered | At least 1 new review gained on your Google Business Profile for every 10 review requests delivered, over the 90 days after you go Live | Your subscription fees for those 90 days are refunded |
| Referral | 60 referral invitations are delivered | At least 3 referral leads in the 90 days after you go Live | Your subscription fees for those 90 days are refunded |
| Return | 30 jobs are completed | Attributed revenue of at least 3 times the subscription you paid, over the 120 days after you go Live | Your subscription fees for those 120 days are refunded |
4.2 How results are measured. Results are measured from the records in the Service, which show each guarantee's status and your progress toward its minimum.
- "Live" means your account status is set to Live in the Service, after required setup and the go-live checklist are complete. Text messages may still be waiting for carrier approval when an account goes Live.
- "Delivered" means a review request or referral invitation that our messaging or email provider reports as delivered to an End Customer.
- "New review gained" means the increase in the number of reviews on your Google Business Profile during the period, as read by the Service.
- "Referral lead" means a referred person who submits their own details through a referral page, is not already in your records as a customer or open lead, and is not a duplicate, self-referral or fraudulent referral.
- "Attributed revenue" means the paid invoice value of jobs the Service links to a RepeatAce message, page or magnet, as shown on your dashboard.
- "Completed jobs" means jobs marked complete in your connected software, or recorded as complete in RepeatAce.
4.3 Conditions. A guarantee is void if any of these does not hold during its period:
- your account stays Live and paid for the whole period;
- Jobber stays connected, or you keep recording jobs by hand, with no gap longer than 7 days;
- the program being measured stays switched on, and its review or referral link stays in its message; and
- you meet the consent requirements in section 5, and your texting registration details are submitted.
The first two conditions do not apply to the setup guarantee.
4.4 Refunds. When a promise is missed and every condition held, the refund is the subscription fees you paid for the measured period; for the setup guarantee, it is your first month's subscription. On an annual plan, the subscription for the measured period is the annual price divided by 12 for each month. If you paid no subscription in the period, for example during a free period, nothing is refunded. Refunds go back to your card on file after we confirm the result from the Service's records. Each guarantee can be claimed once per account. Refunds under more than one guarantee never total more than the subscription fees you paid for any month. The $150 setup fee, message overages, magnet packs and reward charges are never refunded under any guarantee. Guarantee refunds are separate from the cancellation rules in section 3.9.
4.5 Questions about a result. If you believe a result or status shown in the Service is wrong, email hello@repeatace.com. We will review the records and reply within 10 business days, sharing the figures we relied on.
4.6 Only remedy. This section states your only remedy if a promise in it is not met.
5. Messages, consent and reviews#
5.1 Who is responsible for what. Messages to End Customers are sent in your business name, on your instructions and to the contacts you provide. You are responsible for your contact lists, the offers and content you approve, and having the permissions described below. RepeatAce is responsible for operating the Service as described and for its own legal obligations. Neither party's responsibility removes the other's.
5.2 Your consent commitments. You represent and warrant, each time a message is sent to an End Customer at your instruction or under automation you have switched on, that:
- the End Customer gave the permission that applicable law requires for that type of message from your business, and has not revoked it;
- the contact details belong to that End Customer, and were collected lawfully by your business; and
- any evidence of permission you recorded in the Service is accurate, and you keep any underlying records (such as a signed form) and will provide them to us within 5 business days of our request.
You are solely responsible for deciding which laws apply to your messages, including the Telephone Consumer Protection Act, the CAN-SPAM Act and state laws, and for complying with them. You should consult your own counsel. RepeatAce does not give legal advice.
5.3 RepeatAce's text messaging policy. In addition to the law, RepeatAce applies its own policy: automated texts to End Customers are sent only where the Service holds a valid permission record for that End Customer, that number, your business and that type of text. A valid record shows the affirmative act the person took (for example, checking an unticked box beside a stated disclosure), the disclosure and its version, the number and person, the date and time, the source, and the underlying evidence or a reference to where it is kept. The Service checks the record, and any opt-out, before sending. Approval of a quote or invoice, a box ticked on someone's behalf, a verification code, or a field that merely states that consent exists, is not a valid record.
5.4 Consent tools and templates. The Service includes tools to help you collect and record permission, such as opt-in pages, form wording, hosted privacy and SMS notices, and message templates. These tools are provided for convenience. Using them does not ensure that your messages comply with the law, and you are responsible for reviewing them, adapting them to your business, and deciding whether they meet your obligations.
5.5 Email. Federal law (the CAN-SPAM Act) does not generally require advance permission for commercial email, but it requires accurate sender information, a valid postal address, truthful subject lines and a working unsubscribe. RepeatAce adds these to every email. RepeatAce's policy is that emails are sent only to End Customers who have done business with you or asked you for a quote or service.
5.6 Our rights to check and act. We may ask for evidence of permission, refuse or remove imported contacts or records that do not meet section 5.3, pause messages, and require changes where we reasonably believe permission is missing or a carrier or provider requires it.
5.7 Carrier and provider charges caused by you. If a carrier, messaging provider or registration body charges RepeatAce a fine, penalty or fee because of messages sent at your instruction without the required permission, because of inaccurate information you gave for your registration, or because of your breach of section 5 or the Acceptable Use Policy, you will reimburse that amount on request, with reasonable supporting evidence.
5.8 Texting registration. Carriers require each business that sends texts through the Service to be registered. We file the registration for your business using the information you provide, and you authorize us to do so. You confirm the information is true and will tell us promptly if it changes.
5.9 Opt-outs. When an End Customer replies STOP or another standard opt-out keyword, the Service records the opt-out automatically and stops all automated and promotional texts from your business to that number. Other clear requests to stop, such as a reply in the person's own words or a request made to you or to us, are recorded as soon as practicable after they are received, and you must tell us promptly about any you receive directly. When someone unsubscribes from email, the Service stops promotional email to that address. You must not begin new unsolicited outreach to that person for the same purposes through other channels. You may still respond to that person's own requests for service through appropriate channels, as the law permits. Texts resume only if the person gives permission again and a new valid record exists.
5.10 Reviews. You must give every End Customer the same opportunity to leave a review. You must not: offer anything of value in exchange for a review; ask only customers you expect to be satisfied; screen customers before offering the review link; or write, buy or arrange fake reviews. Some of these rules are stricter than federal law and reflect the policies of review platforms and RepeatAce. Rewards in the Service are for referrals only.
5.11 Your own legal obligations. You remain responsible for your business's compliance with the laws that apply to it, including licensing, advertising, consumer protection, privacy and tax laws.
6. Rewards, magnets, Network Ace, connected software and Ace#
6.1 Rewards. You sponsor every reward offered to your End Customers, and you alone are responsible for funding it and for honoring your offer.
- Settings and approvals. In your settings you choose the reward bands, the automatic approval threshold and which Authorized Users may approve rewards; the Service records who set or changed each setting and when. A reward below your automatic approval threshold is approved under that setting without a separate approval each time; a reward above it requires approval by an authorized user.
- Funding. When a reward is approved, you authorize the reward amount and any fulfillment fee shown in the app before you approve your reward settings to be charged to your payment method, and the reward to be sent through our reward provider. RepeatAce does not advance funds. If the charge fails or is reversed, the reward is not sent until it is paid, and we are not responsible for paying it. You are responsible for chargebacks and reversals on reward charges.
- Fraud and errors. We may hold a reward for review where we reasonably suspect fraud or error, and we will tell you.
- Law and tax. You are responsible for your reward offer complying with law, and for determining and meeting any tax reporting obligations for rewards you fund; we will make reward records available to you.
The Referral & Reward Terms set out the rules your End Customers see.
6.2 Magnets. Magnets, stickers and cards supplied by RepeatAce each carry a unique code that opens a page for your business while your account is active. You own the physical items once delivered. The codes and the pages they open are part of the Service. A code that is retired, reassigned or rebound never shows a previous homeowner's information. When your account ends, codes assigned to you are retired and open a neutral page. Packs you ordered and paid for but that have not shipped when your account ends are refunded.
6.3 Network Ace. Network Ace lets businesses send jobs to, and receive jobs from, other businesses, under the Network Ace Terms. RepeatAce is not a party to any job or arrangement between businesses, does not check licensing, insurance or quality, and does not endorse any business. Referral fees between businesses may not be available in every state or trade.
6.4 Connected software and other third-party services. You may connect Jobber or another Third-Party Service only if you are authorized to do so for your business, and the Service requests only the access it needs. When connected, the Service reads the data it needs, such as customers, jobs, requests and invoices, and writes back what is described in the app: it creates requests in Jobber for referral leads, service requests and Network Ace jobs, marked "From RepeatAce," and follows them through to job and invoice status. Third-Party Services are provided by their own companies under their own terms. We do not control them, and we are not responsible for their availability, accuracy, security, changes to their features or access rules, or their processing of data, which our DPA does not cover. A particular integration is not guaranteed to be available, and its availability is not a condition of your payment obligations unless your Order says so. If a connection is broken or a provider changes its rules, parts of the Service may stop working until it is restored; we will tell you when we detect a broken connection. You may disconnect a Third-Party Service at any time, and the features that depend on it will stop.
6.5 Ace, the AI assistant. Ace uses artificial intelligence to answer questions and to propose settings, messages and rewards. Ace can make mistakes, and you should review what it proposes. Changes Ace proposes take effect only after an Authorized User approves them, or within automation that an Authorized User has already switched on, such as automatic review requests. Ace does not give legal, tax or compliance advice. We do not use Customer Data to train AI models. Under our AI provider's commercial terms, data sent to it through its API is not used to train its models; the provider may keep data for a limited period for safety monitoring and legal compliance.
7. Data, intellectual property and confidentiality#
7.1 Customer Data. As between you and RepeatAce, you keep your rights in Customer Data, subject to the rights of the individuals it concerns. You grant RepeatAce a non-exclusive license, for the term of these Terms and the deletion period in section 8.3, to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as set out in the DPA.
7.2 Aggregated data. We may create aggregated, de-identified data from use of the Service that does not identify you, your Authorized Users or any individual, using reasonable de-identification safeguards. We will not try to re-identify it and will contractually prohibit recipients from doing so. We may use it to operate and improve the Service and to publish benchmarks, such as average review rates by trade. We do not sell Customer Data, and we do not use personal information in Customer Data to train AI models.
7.3 Account information. We process information about your account and Authorized Users for our own purposes, such as billing, security and communications with you, as described in our Privacy Policy.
7.4 Our intellectual property. RepeatAce and its licensors own the Service, including its software, designs, templates, help content and trademarks. You have a limited, non-transferable right to use the Service for your own business while your account is active. You must not copy, resell or reverse engineer the Service, or use it to build a competing product.
7.5 Your brand. You permit us to display your business name, logo and brand colors in the Service and in messages and pages sent for you. We will not name you as a customer in our marketing without your permission.
7.6 Feedback. We may use suggestions and feedback you give us without restriction or payment.
7.7 Confidentiality. Each party will keep the other party's non-public business information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is public, already known to the receiving party, lawfully received from someone else, or required to be disclosed by law, in which case the receiving party will give notice where lawful.
8. Suspension, termination, warranties and liability#
8.1 Suspension. We may suspend all or part of the Service, with notice where practicable, if fees are overdue, if you breach these Terms or the Acceptable Use Policy, if a carrier or provider flags or restricts your messages, or if continuing would expose RepeatAce, other customers or End Customers to harm or legal risk. We will consider restoring the Service once we have verified that the issue is resolved and where restoring it is lawful and permitted by our providers.
8.2 Termination. You may end these Terms by cancelling under section 3.9. We may end these Terms: (a) on 30 days' notice for any reason, in which case we refund prepaid fees for the unused period; (b) if you materially breach these Terms and do not cure the breach within 10 days of notice; or (c) immediately, on notice, for unlawful conduct, a serious security risk, or conduct that causes or is likely to cause a carrier to block messages.
8.3 After termination. When your account ends:
- Export. For 30 days after the account end date, you may ask us at hello@repeatace.com for an export of your Customer Data, which we provide as a secure download. If your account was suspended, we provide the export this way rather than restoring access.
- Deletion. We delete Customer Data from the production systems of the Service within 90 days after the account end date. Backups expire on their regular schedule, are not used for ordinary operations, and remain protected until they expire.
- Retained records. We keep only what we need, and only for as long as needed: opt-out and suppression records, so that people who opted out are not messaged again; evidence of consent; billing and tax records; records needed for a legal claim or legal hold; and security incident records. These remain protected under these Terms and the DPA.
- Rewards. Rewards approved and paid for before the account end date are sent, subject to the reward provider accepting them, valid recipient details and applicable law. Rewards not yet approved are cancelled in the Service. With your export we include a list of pending referrals and unsent rewards, so that you can honor your offer to your End Customers directly, as you remain responsible for doing.
- Network Ace. Jobs not yet accepted expire. Jobs already accepted continue between the businesses involved, outside the Service.
- Survival. Sections 3 (for amounts owed), 6.1 (for rewards approved), 7.2, 7.4, 7.7, 8 and 9 continue after termination. No section gives us a right to keep using Customer Data beyond what this section allows.
8.4 Disclaimer. The Service is provided "as is" and "as available." Except as stated in section 4, we do not promise any particular number of reviews, referrals, leads or amount of revenue. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Delivery of texts and emails depends on carriers and providers outside our control, and we do not guarantee delivery.
8.5 Limitation of liability. To the extent permitted by law:
- neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, however caused; and
- each party's total liability arising out of or relating to these Terms, the DPA, the program terms and the Service, under any theory, is limited to one aggregate amount equal to the greater of (i) the subscription, setup and overage fees you paid to RepeatAce in the 12 months before the event giving rise to the claim and (ii) $100. Reward amounts, fulfillment fees, taxes and other amounts passed through to third parties are not included in that amount.
These limits do not apply to your obligation to pay amounts you owe, to your obligations under section 8.6, or to liability that the law does not allow to be limited.
8.6 Your indemnity. You will defend and indemnify Tackr Flow Inc., and its directors, officers, employees and contractors, against third-party claims, and against resulting losses, settlements, reasonable attorneys' fees and, where the law allows, fines and penalties, to the extent arising from: (a) messages sent at your instruction to people for whom you did not have the permission required by section 5; (b) Customer Data, content or offers you provide; (c) your reward offers, reward funding and reward chargebacks; (d) jobs you send or receive through Network Ace; or (e) your breach of these Terms or of law. This indemnity does not cover loss to the extent caused by RepeatAce's own breach of these Terms or unlawful conduct. We will notify you promptly of a claim, let you control its defense with counsel reasonably acceptable to us, and give reasonable cooperation at your expense. You may not settle a claim in a way that admits fault for, or imposes obligations on, RepeatAce without our written consent. We may take part with our own counsel at our own expense. This section continues after these Terms end.
9. Governing law, disputes and general terms#
9.1 Governing law. These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules.
9.2 Where disputes are heard. Any dispute arising out of or relating to these Terms or the Service will be heard only in the state courts located in Charleston County, South Carolina, or in the United States District Court for the District of South Carolina, Charleston Division, where that court has jurisdiction. Each party consents to those courts' jurisdiction. Before filing a claim, each party will try in good faith to resolve the dispute by written notice and discussion for 30 days. This does not prevent either party from seeking urgent injunctive relief, giving a notice required by law, or filing a claim to stop a deadline passing.
9.3 JURY WAIVER. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
9.4 Changes to these Terms. We may update these Terms. For a material change, we will email the account owner at least 30 days before it takes effect, and the updated version will show its effective date. If you continue to use the Service after that date, the updated Terms apply. If you do not accept them, you may cancel before they take effect, and if you prepaid an annual plan, we will refund the prepaid fees for the unused period. Changes do not apply to a dispute that arose before the change.
9.5 Notices. We send notices to the email address of your account owner. You send notices to hello@repeatace.com, and legal notices also by mail to our mailing address in section 1.1. You agree to receive notices, agreements and invoices electronically.
9.6 Assignment. You may not transfer these Terms without our written consent. We may transfer them in a merger, acquisition, reorganization or sale of assets, with notice to you.
9.7 Events outside our control. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as carrier outages, failures of Third-Party Services, natural disasters or government action. This does not excuse payment obligations.
9.8 Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency or employment relationship.
9.9 Entire agreement. These Terms, with the documents in section 1.4, are the entire agreement between the parties about the Service. If any part is unenforceable, it is limited to the minimum extent necessary and the rest remains in effect. A failure to enforce a right is not a waiver of it.
